Terms and Conditions

1. General

The following terms and conditions apply to all website, web and mobile application development and design or any other services provided by Corcosoft, spletne storitve, Borut Balažek s.p. to the Client.

2. Definitions

  • We / Our / Corcosoft: Corcosoft, spletne storitve, Borut Balažek s.p.
  • You / Your / The client: The company or individual requesting the services of Corcosoft
  • Our services / The services / The project: The services that the client has requested

2. Acceptance

When the client accepts our quotation or makes the payment in advance, then the client is accepting our terms and conditions.

3. Charges and payment terms

All payments must be made on the bank account of Corcosoft, which details are available on the Corcosoft website (on the Imprint page) and on the invoice.

Corcosoft refuses to take any additional work to the project, if any invoice has not been paid in full and on time.

Corcosoft reserves the right of removing / disabling its services / project, if the invoice is not paid in full and on time.

Charges for services provided by Corcosoft are defined in the project quotation or proposal emailed to the client. Quotations are valid for 28 days from the date sent.

3.1. Project based

Unless agreed otherwise with the client, all services require an advance payment of 50% of the project quotation total as a deposit before work starts. The remaining 50% of the project quotation will be paid by 2 milestones of 25%: first 25% must be paid when the project is half done (at 50%), the last 25% upon completion of the project (before the exchange of materials).

A deposit is only refundable if work has not been carried out to the approximate value of the deposit. The value of work should be calculated at 50 EUR per hour and should include planning, research and development time prior to design or development work being carried out.

Milestone payments must be made within 7 days of each milestone, unless mutually agreed otherwise. Final payment must be made prior to the project goes live.

3.2. Milestone based

If the client and Corcosoft agree on an hourly, daily or weekly payment strategy, the client is obligated to pay an agreed amount, before any work starts.

If the client and Corcosoft agree on a weekly payment strategy, 2 weeks is considered as a milestone.

With the weekly payment strategy, the client is obligated to pay 1 milestone payment (every 2 weeks), before any new or continuous work starts. This applies for the initial deposit payment and also for each follow-up payment / milestone.

4. Client review

The client has 7 days to review the work done to the current milestone. An invoice for the milestone will be sent the same day. Corcosoft shall not be obligated to do any additional work or start the next milestone until the invoice is paid in full.

5. Project scope

The client must provide a very detailed list of specifications, requirements and features. No information shall be withheld from Corcosoft. Every undefined specification, requirement or functionality will result as additional work, which will be billed separately - after client's approval.

6. Deadlines

All Corcosoft deadlines and timelines are estimates and will apply in most cases. However, it may happen that a deadline must be shifted because of reasons out of Corcosoft's control (such as illness of a team member, natural catastrophes or similar).

Deadlines may also change if the client changed the initial specifications, requirements or functionality.

The initial deadline may also not apply, if the client fails to make the deposit on time or if the client does not deliver all the required content / resources on time.

Corcosoft will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.

7. Termination

Termination of services by the client must be requested in a written notice (email or letter) and will be effective on receipt of such notice. The client will be invoiced for any work completed to the date of first notice of cancelation for payment in full.

8. Copyright

The client retains the copyright to data, files and graphic logos provided by the client, and grants Corcosoft the rights to publish and use such material. The client must obtain permission and rights to use any information or files that are copyrighted by a third party. The client is further responsible for granting Corcosft permission and rights for use of the same and agrees to indemnify and hold harmless Corcosoft from any and all claims resulting from the client's negligence or inability to obtain proper copyright permissions. Evidence of permissions and authorities may be requested.

Corcosoft cannot take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.

9. Design variations

Corcosoft is pleased to offer you the opportunity to make revisions to the design. However, Corcosoft has the right to limit the number of design proposals to a reasonable amount and may charge for additional designs, if you make a change to the original design specification.

Once the design has been signed off, and Corcosoft commences the development phase, only minimal changes can be accepted without additional charges. Corcosoft codes all projects for responsive design and for multiple browsers, which means even the small design changes, can be significant coding hours.

Any major deviation from the specification will be charged at the rate of 50 EUR per hour.

10. Priorities

10.1. Low / No rush

  • Price: -10%
  • Start of work: up to work 20 days

10.2. Normal / Default

  • Price: +0%
  • Start of work: 5 to 10 work days

10.3. ASAP / As Soon As Possible

  • Price: +50%
  • Start of work: up to 2 work days (excludes weekends and holidays)
  • Must have one (1) exclamation mark (!) in the email subject / title

10.4. Urgent

  • Price: +100%
  • Start of work:
    • up to 2 days (48 hours), if the task was sent one day before a weekend day (Friday, Saturday) or one day before a holiday (ex.: 31.12.; 1.1. is a holiday)
    • up to 1 day (24 hours), if the task was sent any other time (Sunday to Thursday; With exceptions of weekends and holidays - see point above)
  • Must have three (3) exclamation marks (!!!) in the email subject / title

11. Support contract

Corcosoft can provide ongoing maintenance on an annual contract basis and our standard fee is 25% of the project cost, charged annually in advance or 2.5% monthly in advance with a minimum 12 months contract. The contract includes only the core functionality fixes. It excludes any additional design or development work resulting from a change to business requirements. Maintenance contracts start when the 28 days warranty period is completed.

Any tasks / tickets with higher than "Normal" priority (such as "As Soon As Possible" or "Urgent") tasks will be charged separately.

12. Warranty

Corcosoft offers you a 1-month warranty. The warranty can be used, if you find a bug within 1 month after the finished stage / phase or launch of the project.

If the project, tasks or milestone was developed / executed with higher than "Normal" priority (such as "As Soon As Possible" or "Urgent"), then the warranty does not apply.

The warranty only applies for projects, which total budget exceeded five thousand (5000) EUR.

13. Subcontracting

Corcosoft builds most of its projects with the currently retained staff. Corcosoft can, however, reserve the right to subcontract any services that we have agreed to perform for you.

14. Non-disclosure

Corcosoft (and any subcontractors Corcosoft engages) agrees that it will not at any time disclose any of the clients confidential information to any third party.

15. Reporting

The reporting fully depends on the clients wish, on how he should be informed with the changes and updates of the project. Per default, the client will get information about the status of the project upon his request, which must not be more than once per week. Otherwise the client has always insights into the project code (which will normally be hosted on a private repository inside BitBucket or GitHub), if the project has a repository (normally all web and mobile application do have one).

16. Email support

All support requests / tickets must be made on the following email address: support@corcosoft.com.

17. License

Once Corcosoft has received a full payment for the work, from the client, Corcosoft will grant a license, to use the project and it contents for the life of the project.

Until all the project invoices are paid in full, Corcosoft reserves the rights to publish, distribute, sublicense, and / or sell the project or any part of the project, written by Corcosoft or any of its subcontractors.

18. Liability

Corcosoft hereby excludes itself, its employees or any engaged subcontractors from all and any liability from:

  • Loss or damage caused by any inaccuracy;
  • Loss or damage caused by omission;
  • Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the web application, mobile application, website or any other service Corcosoft has made for the client.
  • Loss or damage to clients materials supplied for the project. Immaterial whether the loss or damage results from negligence or otherwise.

The entire liability of Corcosoft to the client in respect of any claim whatsoever or breach of this agreement, whether or not arising out of negligence, shall be limited to the charges paid for the services under this agreement in respect of which the breach has arisen.

Corcosoft also strongly advises you to buy an SSL certificate, to insure and cover any possible losses, caused by whatever reason.

19. Governing Law

This Agreement shall be governed by Slovenian Law.
